Overview

These Terms of Service (“Terms”) govern access to and use of Zuantix, an AI Business Operating System operated by Zuantix (“we”, “us”, “our”). By creating an account, completing onboarding, or using the Service, you agree to these Terms.

1. The Service

Zuantix provides business monitoring, analysis, benchmarking, optimization, growth tools, AI coaching, diagnosis, recommendations, marketing agents, and related features. Features may change as we improve the product. Some capabilities require a paid plan or onboarding fee.

2. Accounts & organizations

• You must provide accurate registration information
• You are responsible for activity under your account and for safeguarding credentials
• Organization admins control members, roles, and company data submitted to the Service
• You must be authorized to act for any business whose data you upload

3. Subscriptions & fees

Plan prices, onboarding fees, applicable taxes, and billing terms are shown at checkout / onboarding. Fees are generally non-refundable except where required by law or expressly stated by us. We may change pricing with notice for future billing periods.

4. Acceptable use

You agree not to:

• Violate law or third-party rights
• Attempt unauthorized access, scrape, or disrupt the Service
• Upload malware or unlawful content
• Misrepresent AI outputs as professional legal, medical, or regulated advice
• Use the Service for anyone under 18 as an intended end-user product for minors

5. AI outputs — important disclaimer

AI features generate suggestions based on the data you provide and third-party models. Outputs may be incomplete or incorrect. They are for informational and operational support only and are not a substitute for qualified professional advice (legal, financial, tax, medical, or otherwise). You remain responsible for decisions made using the Service.

6. Your content

You retain ownership of content you submit. You grant us a worldwide, non-exclusive license to host, process, and display that content solely to operate and improve the Service (including AI processing you request). You represent that you have the rights to submit such content.

7. Our intellectual property

Zuantix software, branding, and documentation are owned by Zuantix or its licensors. These Terms do not transfer ownership of our IP to you.

8. Third-party services

The Service may integrate with third-party APIs, AI providers, payment processors, and messaging services. Their terms and privacy practices apply to their processing.

9. Suspension & termination

We may suspend or terminate access for breach of these Terms, non-payment, misuse, or risk to the platform. You may stop using the Service at any time. Provisions that by nature should survive will survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUANTIX AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICE IN THAT PERIOD (OR USD $100 IF GREATER AND REQUIRED AS A MINIMUM BY APPLICABLE LAW).

12. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules. Courts located in Delaware shall have exclusive jurisdiction, subject to mandatory consumer protections that may apply.

13. Changes

We may update these Terms. Material changes will be reflected by updating the “Last updated” date. Continued use after changes constitutes acceptance.
